Official company and property records in Malaysia
Malaysia keeps separate registers for company records and for land and property records, each reached through its own office and its own search key. A correctly issued document from either can still be refused abroad on form grounds alone. At least one further layer, covering insolvency and court records, stays closed to a search that starts from a name.
The registers present
Company records. Malaysia's company register holds the incorporation details of companies and other registrable business entities: registered address, directors as filed, and share capital as declared. Where the entity is a private company, the record does not by itself confirm who stands behind a corporate shareholder. The exact search route open to an applicant outside Malaysia is being confirmed against the primary source.
Land and property. A separate register holds title to land, keyed to the parcel rather than to the current owner's name. Where a search begins from a name alone, it returns nothing until the parcel reference is supplied. The search key and the fee for an extract from this register are under confirmation.
Insolvency and court records. Winding-up orders and other insolvency filings sit with the courts rather than on the company file itself. Where a company has entered liquidation, the order is a separate document and is not always cross-referenced on the incorporation record at the same time. Access for an applicant without a Malaysian address is being confirmed.
Vehicle records. A vehicle register exists, keyed to the vehicle rather than to a person. Where only a name and an approximate date are available, the record cannot be searched without the registration number itself. This family sits outside most company or property enquiries and is noted here for completeness.
Intellectual property. Trademarks, patents and industrial designs are held in a register administered apart from the company file. Where a mark is cited in a commercial dispute, the underlying filing sits here rather than on the corporate record. Extract format and turnaround for a foreign applicant remain to be confirmed.
Official notices. Changes of name, dissolutions and certain court orders are published through a gazette mechanism distinct from any single register. Where a fact has been published but not yet entered on the company file, the two sources can disagree for a period. This layer is treated separately below.
Tax and VAT status. Confirmation of current tax and VAT registration status is obtained separately from the incorporation record and addresses whether an entity is registered for consumption tax now, not whether it was validly incorporated. A company extract on its own does not confirm current registration status.
Charges over company assets. Security registered against a company's assets is filed separately from the incorporation record, and a standard company extract does not confirm whether a charge has been registered against it. Confirmation of public access to this filing for a foreign applicant is pending.
What is closed here
Beneficial ownership behind a corporate shareholder is not returned on a routine company search. Where a holding structure sits above the entity named on the extract, a further filing – if one exists and if it is open to a search at all – would need to be requested separately, and whether that filing is open to a foreign applicant is not yet confirmed.
Litigation status is not consolidated into one index. Where a company or an individual is party to a pending case, the fact does not appear on the company extract or on the land record; it would have to be checked court by court, and coverage of this layer is limited to what is confirmed against the primary source.
A land record confirms registered title but not every encumbrance affecting the parcel. Where a charge or a caveat has been lodged but not yet processed onto the register, the extract issued on the day of the search will not show it.
None of the records above confirm that a company is currently trading, that a debt will be repaid, or that a counterparty is safe to deal with. A record shows what has been filed and accepted by the register; it does not show intent, solvency going forward, or the outcome of a matter still open.
Where the company or the land parcel changed hands before the register's current indexing period began, the extract available today may not reach back far enough to show the earlier position without a separate historical search.
How documents from here are used abroad
A company extract from Malaysia is commonly presented in due diligence files, in bank account opening packs, and in filings made to a foreign companies register when a Malaysian entity is named as a shareholder or a parent. A land record is presented less often outside Malaysia, typically in a cross-border financing file where the asset itself is the security.
Whether a document needs an apostille or consular legalisation before a receiving authority abroad will accept it depends on the receiving jurisdiction, not on the Malaysian register that issued it. The certification chain that applies between Malaysia and a given receiving country is being confirmed against the primary source; where an apostille applies, it certifies the signature and seal on the document, not the truth of its content.
A document correctly issued by a Malaysian register can still be refused by a receiving party abroad on form grounds alone: an extract in the wrong language pairing, an extract older than the receiving party's own cut-off, or a certified copy where a plain copy was submitted instead. None of these outcomes reflect an error in the underlying record.
Where a receiving party requires an English version and the register issues in Malay, a translation is a separate step from the certified extract itself, and the register's own certification does not extend to a translation prepared afterwards.
Access barriers a foreign applicant meets
Where a search key is a registration number rather than a name, an applicant who holds only the company's trading name cannot complete the search until the number is found first, and finding it can itself require a preliminary search through a different channel.
Where the land register is organised by parcel, an applicant working from an address alone – without the parcel or lot reference – meets the same barrier: the reference must be established before the extract can be requested.
Payment for a register search or a certified copy is, for several of the families above, accepted only through a local payment instrument or a local intermediary account, which an applicant without a presence in Malaysia does not hold.
Where a filing or a certified copy must be collected in person or delivered to a local address, an applicant abroad meets a further barrier that has nothing to do with the content of the record itself.
The route that clears each of these barriers for REGISTRUM's clients runs through a licensed registered agent in the jurisdiction, who holds the local access, the payment instrument and, where required, the local address that the register itself asks for.
Route detail differs by family and is confirmed per record rather than stated once for the whole jurisdiction: the issuing office, the fee, the turnaround and the language of issue depend on which register is asked. For most of the families above, availability to an applicant without a Malaysian address runs through a licensed registered agent in the jurisdiction rather than direct application.
Which register holds company records in Malaysia?
A central company register holds incorporation details for companies and other registrable business entities, including registered address, directors as filed and declared share capital. The exact name and structure of this register, and the search route open to a foreign applicant, are being confirmed against the primary source.
Can a foreign applicant obtain documents from Malaysia directly?
For several of the families listed above, an applicant without a presence in Malaysia meets a barrier at the payment step, the identifier step, or the collection step. Where that barrier applies, the request is submitted through a licensed registered agent in the jurisdiction rather than directly.
What is not recorded in the Malaysia registers?
Beneficial ownership behind a corporate shareholder, consolidated litigation status, current trading activity and the outcome of a pending dispute are not shown on a standard extract from any of the families above. A record shows what has been filed and accepted, not intent or future solvency.
Does a Malaysia company extract show beneficial ownership?
No. A standard extract from the company register lists the entity's filed directors and shareholders of record, not the individual who ultimately controls a corporate shareholder. Whether a further filing addressing beneficial ownership exists and is open to a foreign applicant is under confirmation.
How is a certified document from a Malaysia register authenticated for use abroad?
Authentication depends on what the receiving jurisdiction asks for, not on the Malaysian register alone. Some receiving parties accept the register's own certification; others ask for an apostille or consular legalisation on top of it. The chain that applies between Malaysia and a given receiving country is confirmed at the point of order.
What happens if the register entry and a gazette notice disagree?
A fact such as a name change or a dissolution can appear in the gazette before it is entered on the company file itself, so the two sources can disagree for a period. Where this happens, the later-dated source is the one to rely on, and both dates should be checked.
Tell us the jurisdiction and the record you are after; we return the route, the issuing authority and the limit. If the document does not exist in this jurisdiction or cannot be obtained for you, we say so before you pay and we do not take the order.
REGISTRUM obtains and delivers official records issued by public registers and licensed registered agents. This page describes what those records contain and how they are obtained. It is not advice on the legal effect of any record. To order, write to info@registrumfirm.com.
